By downloading, installing, or using the Neni application or visiting heyneni.com, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service.

1. Definitions

The following definitions apply throughout these Terms:

Account — The user profile created upon registration with Neni

Agent — An AI-powered specialist module within the Neni platform (e.g., Health Agent, Finance Agent, Learning Agent, HR Agent)

AI Features — Voice recognition, speech-to-text, text-to-speech, AI-generated content, and AI-conducted voice calls

Child Profile — A sub-profile created within a Family or Elite plan for a user under 18, managed by a parent or legal guardian

Content — Any text, voice input, documents, images, or data submitted by a User to the Service

Family Account — A subscription plan permitting up to 5 user profiles under one billing account

HR Features — Business-tier features including AI resume screening, outbound voice screening calls, and interview scheduling

Platform — The Neni mobile application (iOS and Android) and the website heyneni.com, collectively

Privacy Policy — The Neni Privacy Policy available at https://www.heyneni.com/privacy, incorporated into these Terms by reference

Service — All features, functionality, AI agents, content, tools, and services provided through the Platform

Subscription — A paid plan (Solo, Family, Elite, or Business) granting access to paid features

User — Any individual or legal entity that accesses or uses the Platform

Wake Word — The phrase "Hey Neni" used to activate the voice assistant

2. Acceptance of Terms

By accessing, browsing, downloading, installing, or using the Platform or Service, you confirm that:

● You have read, understood, and agree to be bound by these Terms

● You are at least 13 years of age, or are accessing the Service under parental supervision as described in Section 5

● You have the legal capacity to enter into a binding agreement

● If you are using the Service on behalf of a business entity, you are authorised to bind that entity to these Terms

If you do not agree to these Terms, you must immediately cease using the Service and uninstall the application.

3. Related Policies

Your use of the Service is also governed by the following, which are incorporated into these Terms by reference:

In the event of a conflict between these Terms and any other policy, these Terms shall take precedence unless otherwise stated.

4. Scope of Service

Neni is an AI-powered life operating system designed for individuals and families. The Service includes:

4.1 Consumer Features

● Voice-activated AI agents for daily life management (Health, Finance, Life & Family, Learning, Office, Travel, Reminders, Inbox)

● Morning and evening AI-generated briefs delivered by voice

● Smart inbox: monitoring and summarising connected communications services (Gmail, WhatsApp, Telegram, Slack) with user consent

● AI-generated educational lessons and videos for children

● Financial tracking including portfolio briefs, bill reminders, and spending analysis

● Health management including medication reminders, doctor appointment management, lab report explanation, and wellness check-ins

● Travel booking assistance via third-party travel APIs

● Relationship and gift tracking

4.2 Business / HR Features (Business Plan Only)

● AI-powered resume scoring and shortlisting from connected email inboxes

● Outbound AI voice calls to candidates for initial screening

● Automated interview scheduling via Google Calendar

● WhatsApp and SMS confirmation of scheduled interviews via Twilio

● Chrome Extension for Gmail and job portal integration

4.3 Service Availability

We aim to provide the Service 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. We reserve the right to suspend the Service temporarily for maintenance, upgrades, or emergency repairs. We will provide reasonable advance notice where possible.

AI features depend on third-party APIs including Anthropic Claude, Vapi.ai, and ElevenLabs. Temporary unavailability of these services may affect AI feature availability. RAGNES Technologies is not liable for third-party service outages.

5. Eligibility and Age Requirements

5.1 Adult Users

The Service is primarily intended for users aged 18 and above. Users between 13 and 17 may access the Service only with the explicit consent and active supervision of a parent or legal guardian, who must hold the primary Account.

5.2 Children Under 13

Child Profiles for users under 13 may be created within a Family or Elite plan by a parent or legal guardian. The following restrictions apply to Child Profiles:

● Child Profiles are created and managed exclusively by the parent/guardian

● Children under 13 may only access Learning, Reminders, and Weather features

● Children under 13 may not access Finance, HR, Travel booking, Communications monitoring, or Shopping features

● All content delivered to Child Profiles is filtered through a child-safety AI layer

● No in-app purchases, subscriptions, or payment features are accessible from Child Profiles

● The parent or guardian is responsible for all activity on Child Profiles and consents to our collection of limited children's data as described in the Privacy Policy

5.3 Business Users

Business plan users must be legal entities or individuals using the HR Features in a professional capacity. Users of HR Features confirm that they have obtained all necessary consents from job candidates whose data is processed through Neni's HR Features, including consent to receive AI-conducted screening calls.

6. Account Registration

To access the full Service, you must create an Account. You agree to:

● Provide accurate, current, and complete registration information including your name, email address, and phone number

● Keep your registration information up to date

● Choose a strong password and keep it confidential

● Not share your Account credentials with any third party

● Notify us immediately at admin@heyneni.com if you suspect unauthorised access to your Account

● Accept responsibility for all activity that occurs under your Account

We reserve the right to suspend or terminate Accounts that contain false or misleading information, or that violate these Terms.

6.1 Family Accounts

A Family Account allows the primary account holder to create up to 5 member profiles. The primary account holder is responsible for all activity across all profiles in their Family Account, including Child Profiles. Billing is consolidated under the primary account holder.

7. Subscriptions, Billing, and Payments

7.1 Plan Overview

7.2 Free Trial

New registered users are eligible for a one-time 7-day free trial of the Solo plan. No credit card or payment information is required to begin the trial. At the end of the trial period, the account automatically reverts to the Free plan unless the user selects and pays for a subscription. One free trial per person; duplicate or fraudulent accounts created solely to access multiple trials may be terminated.

7.3 Billing and Payment

● Subscriptions are billed on a monthly basis, in advance

● Payments are processed exclusively through Razorpay, our authorised payment partner. We do not store credit card numbers, debit card details, or UPI IDs on our servers

● By subscribing, you authorise RAGNES Technologies and Razorpay to charge the applicable fee to your payment method on a recurring monthly basis

● All prices are in Indian Rupees (INR) unless otherwise specified

● You are responsible for all applicable taxes

● Failed payments will result in a grace period of 3 days. After 3 days of non-payment, access to paid features will be suspended until payment is received

7.4 Cancellation

● You may cancel your subscription at any time through your Account Settings

● Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date

● Cancellation does not delete your Account or data. To delete your Account, submit a separate request to admin@heyneni.com

7.5 Refund Policy

Monthly Subscriptions — No refunds are provided for monthly subscriptions except where required by applicable law

Annual Subscriptions (if offered) — Pro-rated refunds for the unused portion may be requested within 7 days of renewal by contacting admin@heyneni.com. Refunds are at RAGNES Technologies' discretion

Trial Period — No charges apply during the free trial. If you experience a technical error resulting in an unintended charge during the trial period, contact us within 7 days for a full refund

Users in India are entitled to the rights provided under the Consumer Protection Act, 2019. Nothing in this refund policy limits those statutory rights.

7.6 Price Changes

RAGNES Technologies reserves the right to modify subscription pricing. We will provide at least 30 days' written notice (by email and in-app notification) before any price increase takes effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

8. AI Features — Important Disclosures

Neni uses artificial intelligence to deliver its core features. By using the Service, you understand and accept the following:

8.1 Nature of AI Responses

● AI-generated responses, summaries, and recommendations are generated automatically and may not always be accurate, complete, or up to date

● AI responses should not be treated as professional advice. Specifically: financial information provided by Neni is not investment advice; health information is not medical advice; legal summaries are not legal advice

● You remain responsible for all decisions made based on information provided by Neni

8.2 Voice Features

● The Wake Word ("Hey Neni") is detected on-device. No audio is transmitted to our servers for wake-word detection

● Voice commands spoken after Wake Word activation are transmitted to our voice processing partner (Vapi.ai) for transcription. By using voice features, you consent to this transmission

● You should not use voice commands to transmit highly sensitive information such as passwords, financial account numbers, or government identification numbers

8.3 AI Voice Calls (HR Business Feature)

● The HR Business plan enables Neni to conduct outbound AI voice calls to job candidates for screening purposes

● Business users are solely responsible for ensuring that candidates are informed they will receive an AI-conducted screening call and have consented to this

● Business users must comply with all applicable telemarketing, consent, and employment laws in their jurisdiction before using outbound call features

● Call recordings and transcripts are stored as described in the Privacy Policy and are accessible only to the Business Account holder

8.4 Learning Content for Children

● AI-generated educational content is designed to be age-appropriate and curriculum-aligned, but parents are encouraged to review lesson content

● RAGNES Technologies does not guarantee that AI-generated content is always factually accurate. Parents should use learning content as a supplement to, not a replacement for, formal education

8.5 Communications Monitoring

● By connecting Gmail, Telegram, Slack, or WhatsApp to Neni, you grant RAGNES Technologies the right to access, read, and process your messages solely for the purpose of delivering the inbox summary features you have enabled

● You represent that you have the right to grant this access and that doing so does not violate any agreement with a third party

● We do not read, store, or process communications from connected services for any purpose other than delivering the features you have enabled

9. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

● Use the Service for any illegal, harmful, fraudulent, or deceptive purpose

● Upload, transmit, or store content that is defamatory, obscene, hateful, or that infringes any third-party intellectual property rights

● Use the HR Features to harass, discriminate against, or illegally screen job candidates

● Attempt to reverse-engineer, decompile, or extract the source code of the application or its AI models

● Use automated bots, scrapers, or scripts to access the Service

● Create multiple Accounts to abuse free trial offers or other promotions

● Attempt to circumvent any security, age verification, or access control measure

● Use the Service to transmit unsolicited communications (spam)

● Interfere with or disrupt the integrity or performance of the Service or its infrastructure

● Impersonate any person, entity, or RAGNES Technologies employee

Violation of this section may result in immediate suspension or termination of your Account without refund, and may be reported to appropriate authorities.

10. Your Content

10.1 Ownership

You retain full ownership of all Content you submit to the Service, including voice recordings, uploaded documents, and messages. RAGNES Technologies does not claim any ownership rights over your Content.

10.2 Licence to RAGNES Technologies

By submitting Content to the Service, you grant RAGNES Technologies a limited, non-exclusive, royalty-free, worldwide licence to use, process, store, and transmit your Content solely for the purpose of providing the Service to you. This licence terminates when you delete the Content or your Account.

10.3 Your Responsibility

You are solely responsible for all Content you submit. You represent and warrant that:

● You own or have the necessary rights, licences, and permissions to submit the Content

● Your Content does not violate any third-party rights or any applicable law

● Your Content is accurate and not misleading

10.4 HR Content

Business users who upload candidate resumes and personal data confirm that they have obtained all necessary consents from candidates to process their personal data through the Neni platform, and that such processing is lawful under applicable employment and data protection law.

11. Intellectual Property

The Service, including the Neni brand, application, website, AI models, software, design, text, graphics, and all other content created by RAGNES Technologies, is protected by copyright, trademark, and other intellectual property laws.

● These Terms grant you no licence or right in any RAGNES Technologies intellectual property

● You may not copy, reproduce, modify, distribute, transmit, display, or create derivative works from any part of the Service without prior written permission from RAGNES Technologies

● The Neni name, heyneni.com, and associated logos and marks are trademarks of RAGNES Technologies. Unauthorised use is strictly prohibited

● This clause survives Account termination

12. Third-Party Services and Integrations

The Service integrates with third-party services including Google (Gmail, Calendar, Fit), Meta (WhatsApp), Slack, Telegram, Razorpay, Zerodha, Groww, Kuvera, Practo, Amadeus, Booking.com, Twilio, Anthropic, Vapi.ai, ElevenLabs, and others.

● Your use of third-party services connected to Neni is governed by those services' own terms and privacy policies

● RAGNES Technologies is not responsible for the availability, accuracy, security, or practices of any third-party service

● Connecting a third-party service to Neni grants us access tokens or permissions as authorised by you through that service's OAuth or consent flow. You may revoke such access at any time through your Account settings or directly through the third-party service

● RAGNES Technologies expressly disclaims liability for any loss, damage, or harm arising from your use of, or reliance on, third-party services

13. Security

We implement industry-standard security measures to protect the Service and your data:

● All data in transit is encrypted using TLS 1.2 or higher

● Data at rest is encrypted using AES-256

● Access to user data is restricted to authorised personnel on a need-to-know basis

● We conduct regular security audits and vulnerability assessments

However, no method of transmission over the internet or electronic storage is 100% secure. You use the Service at your own risk, and RAGNES Technologies cannot guarantee absolute security.

You are responsible for maintaining the security of your Account credentials. Do not share your password. Contact admin@heyneni.com immediately if you suspect a security breach.

14. Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy, available at https://www.heyneni.com/privacy. The Privacy Policy is incorporated into these Terms by reference and forms part of the binding agreement between you and RAGNES Technologies.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

15. Termination

15.1 Termination by You

You may close your Account at any time by contacting admin@heyneni.com or through your Account Settings. Upon account closure, your paid subscription will not be refunded for the remaining billing period (for monthly plans). Your data will be retained for 90 days after closure before being permanently deleted, unless you request immediate deletion.

15.2 Termination by RAGNES Technologies

RAGNES Technologies may suspend or terminate your Account, with or without notice, if:

● You violate any provision of these Terms

● You provide false, inaccurate, or misleading registration information

● You engage in fraudulent, abusive, or illegal activity

● Your payment fails and is not resolved within the grace period

● We are required to do so by law or court order

15.3 Effect of Termination

● Upon termination, your right to access the Service ceases immediately

● Provisions of these Terms that by their nature should survive termination shall do so, including Intellectual Property (Section 11), Limitation of Liability (Section 16), Indemnification (Section 17), and Dispute Resolution (Section 19)

● You may request an export of your data within 30 days of termination by contacting admin@heyneni.com

16. Disclaimers and Limitation of Liability

16.1 Service Provided 'As Is'

The Service is provided on an "as is" and "as available" basis. RAGNES Technologies expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI features are provided for convenience and general assistance. Nothing in the Service constitutes financial, medical, legal, or professional advice. Always consult a qualified professional for such matters.

16.2 No Guarantee of Accuracy

RAGNES Technologies does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content, including financial summaries, health information, educational content, or HR screening scores.

16.3 Limitation of Liability

To the maximum extent permitted by applicable law, RAGNES Technologies, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

● Loss of profits or revenue

● Loss of data or inability to access your data

● Damages arising from use of AI-generated recommendations

● Losses arising from third-party service unavailability

● Any harm arising from unauthorised access to your Account

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid to RAGNES Technologies in the 3 months preceding the claim.

16.4 Consumer Rights

Nothing in these Terms limits any rights you may have under the Consumer Protection Act 2019 (India), the Consumer Rights Act 2015 (UK), or equivalent consumer protection legislation in your jurisdiction. Statutory rights are not excluded.

17. Indemnification

You agree to indemnify, defend, and hold RAGNES Technologies, its affiliates, officers, directors, employees, and agents harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

● Your breach of any provision of these Terms

● Your violation of any third-party rights, including intellectual property rights or privacy rights

● Your violation of any applicable law or regulation

● Your use of the HR Features in a manner that violates employment law, consent requirements, or data protection law

● Any Content you submit to the Service

This indemnification obligation survives termination of your Account and these Terms.

18. Force Majeure

RAGNES Technologies shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to:

● Acts of God, natural disasters, or extreme weather events

● Acts of war, terrorism, or civil unrest

● Government orders, sanctions, or regulatory action

● Internet infrastructure failures or cyberattacks

● Pandemic, epidemic, or public health emergency

● Failure or unavailability of third-party services (including Anthropic, Vapi.ai, Google, or other AI and cloud infrastructure providers)

During such events, our obligations are suspended for the duration of the force majeure event. We will use reasonable efforts to notify you and to resume the Service as soon as practicable.

19. Dispute Resolution and Governing Law

19.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at admin@heyneni.com and attempt to resolve the dispute through good-faith negotiation. We will respond within 14 days.

19.2 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

19.3 Jurisdiction

If a dispute cannot be resolved informally within 60 days, both parties agree to submit to the exclusive jurisdiction of the competent courts located in Faridabad, Haryana, India.

19.4 GDPR / EU Users

Users in the European Economic Area may also bring claims before their local courts or data protection authority (DPA) as permitted by applicable law.

20. Waiver and Severability

No failure or delay by RAGNES Technologies in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RAGNES Technologies regarding your use of the Service and supersede all prior agreements, representations, and understandings.

22. Changes to These Terms

We may revise these Terms at any time. When we do, we will:

● Update the 'Last Updated' date at the top of this document

● Send an in-app notification and email to all registered users at least 14 days before changes take effect

● For material changes affecting children's data or payment terms, provide at least 30 days' notice

Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
